Job Responsibilities:

  • Source and secure listing agreements with business owners through networking, direct marketing, and various forms of contact.
  • Evaluate a business from a financial and operational perspective to develop an opinion of market value.
  • Once a listing agreement is signed, brokers will market the business via Sunbelt’s many resources with the assistance of the administration team.
  • Screen, develop and work with potential business buyers for the firm’s listings.
  • Work with sellers, buyers, bankers, accountants, attorneys, and landlords in the negotiation process and ensure a successful completion of the transaction.

Skill Requirements:

  • Former business owners, sales professionals, or have come from transaction-oriented industries.

Division: Mergers & Acquisitions
Reports to: Managing Director-M&A
Compensation: Base plus Bonus

Job Overview:

The ideal candidate will be well versed in the mechanics of supporting an M&A transaction from inception to closing, experience leading due diligence teams, and willing to train and lead M&A Analysts. The ideal candidate will have a strong working knowledge of M&A, acquisition agreements and other documentation used in complex M&A and private equity transactions. This position requires a candidate with a proven willingness to accept significant responsibility and to manage a challenging workload within a fast-paced environment.

As an Associate with Sunbelt Business Advisors, the candidate’s primary responsibilities will include assisting in the creation of deal related documents (confidential information memoranda, pitch presentations, management presentations), assisting in providing due diligence support (organizing deal related documents and managing electronic data rooms), as well as developing financial statements and valuation models. Other responsibilities will include special research and analysis projects, assisting with the preparation of marketing materials, and assisting transaction teams with day-to-day responsibilities.

Job Responsibilities:

Pitch Stage

  • Conduct company, industry, financial research and prepare client-ready materials for prospect meetings.
  • Co-lead meetings with prospective clients for both sell-side and buy-side projects.
  • Prepare and distribute regular marketing messages and analyst insights through our social media and web-sites.

Deal Execution Stage

  • Conduct valuation and market research; execute valuation models; recommend pricing expectations.
  • Perform data entry and presentation of financial analysis exhibits for marketing materials.
  • Prepare and present marketing materials including teasers, Confidential Information Memoranda, Confidential Business Profiles, and outreach correspondence.
  • Assist with the development of target acquirers (sellers) lists and outreach to acquirers (sellers).
  • Conduct additional analysis and update materials as assigned by senior members of deal team.

Transaction Support Stage

  • Provide analysis of offers and counter-offers.
  • Maintain database of documents and information relevant to the transaction.

Skill Requirements:

  • 2-4 years M&A transaction experience from investment bank/boutique M&A firm/Big 4 or middle market accounting firm in valuation or transaction support/Private Equity or Family Office.
  • Minimum of a Bachelor’s degree in economics, business, finance or accounting
  • Exceptional computer skills, experience with data and databases, and creative internet search.
  • A solid knowledge of M&A and the ability to apply analytic and communications skills creatively to diverse client needs
  • Prudent business judgment, with strong analytic skills; experience in financial modeling particularly DCF`s and the analysis of comparative transactions.

M&A Advisors serve as the trusted advisor to the business owner and executives during the merger and acquisition process. The M&A Advisor provides guidance throughout the process and collaborates with other trusted advisors to ensure a successful sale or acquisition. The primary responsibility will be to build relationships with referral sources, business owners and manage M&A engagements. M&A Advisors have the ability to earn between $250,000-$1,000,000 in commission based on how many engagements closed in a given year. The M&A Advisor is supported by a Deal Support Team which includes an M&A Analyst and/or M&A Associate, and M&A administrative assistant to support the client and engagement through to successful close.
